Legal Entity: Shipproad LLC
Contact Email: Contact@shipproad.com
1. ACCEPTANCE OF THESE TERMS
These Terms of Service (“Terms”) govern access to and use of the Shipproad LLC website, located at https://shipproad.com (the “Website”), and establish general conditions applicable to services provided by Shipproad LLC (“Shipproad,” “Company,” “we,” “us,” or “our”).
By accessing or using the Website, submitting an inquiry, requesting a proposal, or engaging Shipproad to provide services, you (“you,” “your,” “Client,” or “User”) acknowledge that you have read and understood these Terms and agree to be bound by the provisions applicable to your activities.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity. In that case, “you” and “Client” refer to that entity.
If you do not agree to these Terms, you must discontinue use of the Website and refrain from using any services governed by these Terms.
Certain services may be subject to a separate proposal, statement of work, service agreement, license, subscription agreement, or other written contract. Such agreements may contain additional terms and will control over conflicting provisions of these Terms to the extent expressly stated in the applicable agreement.
Merely visiting the Website or submitting an inquiry does not create a client relationship, guarantee acceptance of a project, or obligate Shipproad to provide services.
2. DESCRIPTION OF SERVICES
Shipproad provides digital and technology-related services that may include, without limitation:
- Website design, website development, and digital presence solutions.
- User interface (UI) and user experience (UX) design.
- Mobile application design and development.
- Artificial intelligence (AI) solutions and integrations.
- Business workflow and process automation.
- Personal branding and related digital services.
- Educational technology (EdTech) and digital learning solutions.
- Consulting, implementation, prototyping, maintenance, and other related services when expressly agreed.
The exact services, deliverables, specifications, pricing, project milestones, revisions, support obligations, and deadlines applicable to a particular engagement will be described in the applicable written proposal or project agreement.
Descriptions on the Website are for general informational purposes and do not constitute a binding offer to provide any specific service, feature, result, or delivery date.
Shipproad reserves the right to decline a project, modify its service offerings, discontinue a service, or change its methods and technologies, subject to existing contractual obligations.
Unless expressly agreed in writing, Shipproad does not provide legal, tax, accounting, investment, medical, regulatory, cybersecurity certification, or other licensed professional advice.
3. WEBSITE ACCESS AND ACCEPTABLE USE
You may use the Website only for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the Website in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Website, its hosting environment, administrative interfaces, systems, or associated accounts.
- Introduce malware, viruses, malicious scripts, or other harmful code.
- Interfere with the availability, security, or normal operation of the Website.
- Use automated scraping, harvesting, or extraction tools to collect information from the Website in a manner that violates applicable law or materially interferes with its operation.
- Impersonate another person or misrepresent your identity, authority, affiliation, or intentions.
- Submit fraudulent, defamatory, infringing, abusive, or unlawful material through Website forms or communications.
- Copy, reproduce, modify, distribute, or commercially exploit Website materials except as permitted by law or with Shipproad’s written authorization.
- Attempt to reverse engineer, bypass, or circumvent security controls protecting the Website or any service.
- Use the Website or its content to develop, train, or operate a competing service in a manner that infringes Shipproad’s rights or violates applicable law.
Shipproad may investigate suspected violations and take reasonable steps to protect the Website, its users, its systems, and its legal rights.
Nothing in these Terms restricts activities that cannot lawfully be restricted under applicable law.
4. CLIENT INQUIRIES, PROPOSALS, AND PROJECT AGREEMENTS
Submitting an inquiry, requesting a quote, attending a consultation, or receiving a proposal does not obligate either party to enter into a project.
A project becomes binding only when the parties have accepted the applicable agreement through the agreed method, such as signing a contract, accepting a written proposal, or completing another clearly documented acceptance process.
Before work begins, the applicable project agreement should identify, as appropriate:
- The project scope and objectives.
- Deliverables, specifications, and exclusions.
- Fees, deposits, payment milestones, and payment deadlines.
- Project schedule and dependencies.
- Revision limits and approval procedures.
- Ownership and licensing of deliverables.
- Third-party services, subscriptions, and recurring costs.
- Hosting, maintenance, support, and post-launch responsibilities.
- Acceptance criteria and warranty or correction periods, if any.
No verbal statement, marketing statement, estimate, or informal conversation changes a signed project agreement unless the change is documented and accepted in accordance with that agreement.
If these Terms conflict with a signed project agreement, the signed agreement will govern the specific conflict to the extent the agreement expressly addresses it. All other applicable provisions remain in effect.
5. FEES, PAYMENT, AND LATE PAYMENTS
5.1 Fees and payment obligations
The Client agrees to pay all fees specified in the applicable proposal, invoice, statement of work, subscription agreement, or other accepted contract.
Unless otherwise agreed in writing, fees are payable according to the payment schedule stated in the applicable project agreement or invoice.
Any deposit, advance payment, milestone payment, or reservation fee must be expressly stated in the relevant agreement. No deposit percentage or payment schedule is imposed by these Terms unless specifically incorporated into the agreement.
5.2 Additional expenses
Unless expressly included in the agreed price, the Client is responsible for approved project-related expenses, including applicable third-party software licenses, hosting, domain registration, paid APIs, subscriptions, stock assets, payment-processing charges where lawfully chargeable, and other agreed external costs.
Shipproad will obtain the Client’s approval for material additional project expenses when required by the project agreement.
5.3 Late payments
If a payment is overdue, Shipproad may, to the extent permitted by the applicable agreement and law:
- Provide written notice of the overdue amount.
- Charge interest on overdue balances at the rate expressly agreed in writing, not exceeding the maximum rate permitted by applicable law.
- Recover reasonable collection costs and attorneys’ fees where authorized by contract and law.
- Suspend work, delivery, support, or access to unpaid services after appropriate notice and any applicable contractual cure period.
- Adjust project schedules to account for delays caused by nonpayment.
Suspension does not eliminate the Client’s obligation to pay amounts properly due for services performed, expenses incurred, or other contractual commitments.
Shipproad will not impose undisclosed penalties or fees that are prohibited by applicable law.
5.4 Taxes
Unless the law requires otherwise or the agreement expressly states otherwise, quoted fees exclude applicable sales, use, value-added, or similar transaction taxes.
The Client is responsible for taxes applicable to its purchase, excluding taxes imposed on Shipproad’s net income. Shipproad will collect and remit taxes when legally required.
5.5 Disputed invoices
The Client should notify Shipproad in writing of any genuine invoice dispute within the period stated in the applicable agreement, providing sufficient detail to identify the disputed amount and reason.
The parties will attempt in good faith to resolve the dispute. Undisputed amounts remain payable according to the applicable agreement.
Nothing in this section waives rights that cannot legally be waived.
6. PROJECT SCOPE, REVISIONS, AND CLIENT RESPONSIBILITIES
6.1 Scope of work
Shipproad will perform the services described in the accepted project agreement. Requests outside the agreed scope may require additional fees, revised deadlines, or a separate agreement.
6.2 Change requests
Changes to features, design, functionality, integrations, deliverables, or project requirements must be documented and approved through the change process established in the project agreement.
Shipproad is not required to perform additional work without an agreed scope and any required price or schedule adjustment.
6.3 Client cooperation
The Client agrees to:
- Provide accurate, complete, and timely information.
- Supply necessary content, brand assets, access credentials, and materials.
- Ensure that it has the rights and permissions necessary to provide such materials.
- Designate an authorized representative for decisions and approvals.
- Review deliverables and provide consolidated feedback within agreed timeframes.
- Maintain appropriate backups and account access where required.
- Obtain required consents, licenses, and permissions relating to the Client’s business, data, and content.
- Ensure that its requested project activities comply with applicable laws.
6.4 Delays
Shipproad is not responsible for delays caused by the Client’s failure to provide information, approvals, materials, access, or payments when due, or by third-party dependencies outside Shipproad’s reasonable control.
Where such delays affect the project, Shipproad may reasonably adjust the schedule and, where permitted by the agreement, charge for additional work, rescheduling, or reactivation.
6.5 Review and acceptance
Deliverables will be reviewed and accepted according to the criteria and deadlines stated in the applicable project agreement.
The agreement should specify the procedure for reporting material defects, requested corrections, and acceptance. Silence or failure to respond will not automatically constitute acceptance unless a clearly stated and legally enforceable acceptance mechanism has been agreed in writing.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Shipproad’s pre-existing materials
Shipproad retains ownership of its pre-existing intellectual property, including its methodologies, processes, templates, reusable components, libraries, tools, generic code, frameworks, know-how, and other materials developed independently of the Client’s project.
Nothing in these Terms transfers ownership of such materials merely because they are used or incorporated into a deliverable.
7.2 Client materials
The Client retains ownership of materials it owns and supplies to Shipproad, subject to any third-party rights.
The Client grants Shipproad a limited, non-exclusive license to use, reproduce, modify, and process those materials solely as reasonably necessary to perform the agreed services, provide support, and fulfill the applicable agreement.
The Client represents that it has the rights and permissions necessary to grant this license.
7.3 Project deliverables
Ownership of custom deliverables created specifically for a Client will be determined by the applicable project agreement.
Unless that agreement expressly provides otherwise, payment for services does not automatically transfer ownership of Shipproad’s underlying tools, pre-existing materials, third-party materials, reusable code, or general know-how.
Where the applicable agreement provides for assignment of ownership of eligible custom deliverables, that assignment becomes effective only upon the conditions stated in the agreement, including full payment of all amounts due for the relevant deliverables.
Until any agreed transfer becomes effective, the Client receives only the rights expressly granted in writing.
7.4 Third-party and open-source materials
Projects may include third-party software, open-source components, fonts, images, APIs, libraries, AI models, plugins, or other licensed materials.
Such materials remain subject to their applicable licenses and terms. Shipproad cannot transfer rights it does not own or override the restrictions imposed by third-party licensors.
The Client agrees to comply with applicable license terms and to pay any third-party fees assigned to it under the project agreement.
7.5 Portfolio and publicity
Shipproad may identify a completed project in its portfolio or marketing materials only to the extent permitted by the applicable agreement and any confidentiality obligations.
Where the Client requires confidentiality or wishes to restrict public disclosure, the parties should document those restrictions in writing before work begins.
Shipproad will not disclose the Client’s confidential information merely because it has completed a project.
7.6 Intellectual property complaints
If you believe that material on the Website or in a Shipproad-controlled publication infringes your intellectual property rights, contact [contact@shipproad.com] with sufficient information to identify the material, the rights asserted, and the requested resolution.
Shipproad may investigate and take appropriate action where warranted.
8. ARTIFICIAL INTELLIGENCE AND AUTOMATED SYSTEMS
Shipproad may use or develop AI-enabled tools, machine-learning systems, automated workflows, and third-party AI services as part of certain projects.
8.1 Nature of AI outputs
AI-generated outputs may be inaccurate, incomplete, outdated, inconsistent, or unsuitable for a particular purpose. Outputs may require human review, verification, editing, and testing before use.
Unless expressly agreed in writing, Shipproad does not guarantee that AI-generated material will be unique, error-free, free from third-party claims, or suitable for any specific commercial, legal, or regulatory purpose.
8.2 Client review and responsibility
The Client is responsible for reviewing and approving AI-generated content, recommendations, code, classifications, communications, and other outputs before relying on or publishing them.
The Client must not use AI outputs as a substitute for professional advice where qualified professional review is required.
8.3 AI inputs and confidential information
The Client must not provide confidential, personal, regulated, or sensitive information to third-party AI systems unless the Client is authorized to do so and the applicable processing arrangements, permissions, and safeguards are appropriate.
Shipproad will use third-party AI services according to the applicable project agreement and relevant provider terms, subject to applicable law.
Whether submitted data may be retained or used to train a third-party model depends on the relevant service, configuration, and contractual arrangements. No universal promise of zero retention or no training is made by these Terms.
8.4 AI performance and third-party dependencies
AI functionality may depend on external providers, APIs, models, infrastructure, usage limits, or subscription plans. Changes, outages, pricing, restrictions, or discontinuation by those providers may affect a project.
Shipproad will address such changes in accordance with the applicable agreement. Additional work required to accommodate a material third-party change may require a separately agreed scope and fee.
8.5 Responsibility for use
The Client remains responsible for its business decisions, deployment choices, legal compliance, and use of AI outputs, subject to Shipproad’s obligations under the applicable agreement and applicable law.
Nothing in this section excludes liability that cannot legally be excluded or excuses Shipproad from obligations it has expressly accepted in writing.
9. THIRD-PARTY PLATFORMS, HOSTING, AND INTEGRATIONS
Shipproad may work with third-party providers such as hosting companies, domain registrars, payment processors, app marketplaces, cloud platforms, analytics services, software vendors, APIs, and external development tools.
Those services may be governed by separate terms, licenses, availability commitments, and privacy policies.
Unless Shipproad expressly agrees otherwise in writing, Shipproad does not control the operation, pricing, security, availability, policy decisions, or continued existence of independent third-party services.
Shipproad is not responsible for independent third-party failures or changes except to the extent caused by Shipproad’s own breach of contract, negligence, or other conduct for which it is legally responsible.
The Client is responsible for maintaining third-party accounts, paying applicable subscription fees, complying with provider terms, and preserving access credentials where those responsibilities are assigned to the Client.
Where a third-party service is essential to the project, the parties should document ownership of the account, billing responsibility, access rights, and transition arrangements.
10. CONFIDENTIALITY
Each party may receive nonpublic information from the other party in connection with a project.
“Confidential Information” means nonpublic business, technical, financial, operational, customer, product, or project information that is marked confidential or that reasonably should be understood to be confidential under the circumstances.
The receiving party agrees to:
- Use Confidential Information only for the purpose for which it was disclosed.
- Protect it using reasonable care.
- Limit access to personnel, contractors, and professional advisers who need the information and are subject to appropriate confidentiality obligations.
- Not disclose it to unauthorized third parties, except as permitted by law or the applicable agreement.
Confidential Information does not include information that the receiving party can demonstrate was publicly available without breach, lawfully known before disclosure, independently developed without use of the confidential material, or lawfully received from a third party without a duty of confidentiality.
If disclosure is required by law, the receiving party may disclose the information to the extent legally required and, where legally permitted, will provide reasonable advance notice.
These obligations continue after termination for the period required by applicable law and any separate confidentiality agreement. Trade secrets remain protected for as long as they qualify for protection under applicable law.
11. PRIVACY AND DATA SECURITY
Shipproad’s collection and use of personal information through the Website are addressed in its Privacy Policy, available at [Insert Verified Privacy Policy URL].
The Privacy Policy should be reviewed together with these Terms.
Where Shipproad processes personal data on behalf of a Client, the parties may need a separate data processing agreement defining their respective responsibilities, permitted processing, security measures, incident notification, retention, and deletion.
Each party is responsible for complying with the privacy and data protection laws applicable to its role and activities.
The Client must not provide personal data to Shipproad unless it has the necessary legal basis, permissions, notices, and authority to do so.
Shipproad will implement safeguards appropriate to its contractual obligations and applicable law. However, no internet transmission or information system can be guaranteed to be completely secure.
Nothing in these Terms authorizes either party to disregard applicable data protection, confidentiality, breach notification, or security obligations.
12. WARRANTIES AND DISCLAIMERS
12.1 Professional performance
Shipproad will perform services in accordance with the applicable project agreement and any mandatory legal standards.
Any specific warranty, correction period, maintenance commitment, service level, or performance requirement must be identified in the applicable agreement.
12.2 No guarantee of business outcomes
Unless expressly guaranteed in a signed written agreement, Shipproad does not promise specific business results, revenue, profit, conversion rates, search engine rankings, website traffic, advertising performance, application downloads, user adoption, or return on investment.
Outcomes may depend on market conditions, competition, Client decisions, third-party platforms, user behavior, and factors beyond Shipproad’s control.
12.3 Website availability
The Website and general informational content are provided on an “as available” basis. Shipproad may update, maintain, modify, or temporarily suspend the Website.
To the maximum extent permitted by law, Shipproad disclaims warranties regarding uninterrupted Website availability, the completeness of general informational content, and the absence of every technical error.
12.4 Implied warranties
To the extent permitted by applicable law, warranties not expressly provided in the applicable agreement are disclaimed, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
13. LIMITATION OF LIABILITY
13.1 Excluded categories of damages
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of anticipated savings arising out of or relating to these Terms or a project agreement.
This exclusion does not apply to the extent such damages are expressly recoverable under a separate written agreement or cannot legally be excluded.
13.2 Aggregate liability cap
Subject to Section 13.3 and applicable law, each party’s total aggregate liability arising out of or relating to a particular project will not exceed the total fees paid or payable by the Client to Shipproad under the applicable project agreement during the twelve (12) months preceding the event giving rise to the claim.
If the project agreement has been in effect for less than twelve months, the relevant fees will be those paid or payable for that project during its actual term.
For free Website use where no project agreement exists, the liability cap will be the minimum amount permitted by applicable law, if such a cap is enforceable in the circumstances.
13.3 Matters not excluded
Nothing in these Terms limits or excludes liability where doing so would be unlawful, including liability that cannot legally be limited for fraud, intentional misconduct, or other non-excludable conduct.
The parties may expressly negotiate different limits in a signed project agreement, including different treatment for confidentiality breaches, data security incidents, intellectual property infringement, or indemnification obligations.
13.4 Basis of the agreement
The parties acknowledge that the allocation of risk reflected in this section is intended to be considered when agreeing on project fees, scope, and other contractual terms.
14. INDEMNIFICATION
To the extent permitted by law, the Client agrees to indemnify, defend, and hold harmless Shipproad LLC and its members, managers, employees, and contractors from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:
- Materials supplied by the Client that infringe third-party rights or violate applicable law.
- The Client’s unlawful use of deliverables or services.
- The Client’s material breach of these Terms or an applicable project agreement.
- The Client’s failure to obtain required rights, permissions, notices, or consents for data or materials supplied to Shipproad.
- The Client’s modification or use of deliverables outside the agreed scope, where the claim results from that modification or use.
This indemnity does not apply to the extent a claim results from Shipproad’s own breach, negligence, willful misconduct, or other conduct for which the Client cannot legally be required to indemnify Shipproad.
The party seeking indemnification will provide reasonably prompt written notice of the claim. The indemnifying party may control the defense with qualified counsel, provided it does not settle a claim in a manner that imposes an admission, payment, or continuing obligation on the protected party without that party’s written consent.
The protected party may participate in the defense at its own expense, subject to applicable law and the agreed defense arrangements.
Any indemnification owed by Shipproad to a Client must be expressly stated in the applicable project agreement unless otherwise required by law.
15. SUSPENSION AND TERMINATION
15.1 Website access
Shipproad may restrict or suspend access to the Website where reasonably necessary to address security threats, unlawful activity, misuse, or material violations of these Terms.
15.2 Project termination
A project may be terminated according to the termination provisions of the applicable project agreement.
Where no separate termination procedure exists, either party may terminate an ongoing service arrangement for material breach by the other party if the breach remains uncured for thirty (30) days after written notice, unless a different period is required by law or the circumstances justify another legally permitted approach.
Where an immediate suspension or termination is reasonably necessary to address unlawful conduct, serious security risks, or a threat to people or systems, Shipproad may act to the extent permitted by law and the applicable agreement.
15.3 Financial consequences
Upon termination, the Client remains responsible for amounts properly due for work performed, approved expenses, noncancelable commitments, and other obligations expressly payable under the project agreement.
Any deposit refund, cancellation charge, transition fee, or payment for incomplete work will be determined by the applicable agreement and mandatory law. No blanket nonrefundability provision is created by these Terms alone.
15.4 Handover and access
Following termination and settlement of applicable obligations, the parties will cooperate on the transfer of paid deliverables, credentials, files, or other materials to the extent required by the project agreement.
Shipproad is not required to transfer unlicensed third-party materials, proprietary tools, unpaid deliverables, or materials that it has no right to transfer.
15.5 Survival
Provisions that by their nature should survive termination will remain effective, including payment obligations, intellectual property rights, confidentiality, applicable indemnities, liability limitations, dispute provisions, and accrued rights.
16. FORCE MAJEURE
Neither party will be liable for a delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, government actions, labor disruptions, widespread internet or telecommunications failures, power outages, public health emergencies, or major third-party infrastructure failures.
The affected party will use reasonable efforts to notify the other party and mitigate the impact.
Performance will be suspended only to the extent and for the duration reasonably affected by the event.
If a qualifying event materially prevents performance for an extended period, either party may exercise any termination right provided by the applicable agreement or mandatory law.
Force majeure does not excuse payment for services already performed or other obligations that are not actually prevented by the event.
17. ACCESSIBILITY AND LEGAL COMPLIANCE
Shipproad can discuss accessibility requirements for websites and digital products as part of a project.
Unless expressly included in the applicable agreement, no particular accessibility certification, audit, or level of legal compliance is guaranteed. The agreement should specify the intended standard, scope of testing, and any remediation obligations.
The Client remains responsible for legal requirements applicable to its business, industry, content, and use of the deliverables, except to the extent Shipproad expressly accepts a specific compliance obligation in writing.
Both parties agree to comply with laws applicable to their respective activities under the project agreement.
18. DISPUTE RESOLUTION AND GOVERNING LAW
18.1 Good-faith resolution
Before initiating formal proceedings, the parties should make a reasonable good-faith effort to resolve a dispute through written notice and direct discussion.
This requirement does not prevent either party from seeking urgent injunctive relief or taking action needed to preserve a legal right or meet a mandatory filing deadline.
18.2 Governing law
These Terms and any dispute arising from them will be governed by the laws of the State of Connecticut, without regard to its conflict-of-law principles, except where mandatory law requires otherwise.
18.3 Courts and jurisdiction
Subject to applicable law, the parties consent to the jurisdiction of the state and federal courts located in Connecticut for disputes arising from these Terms or the relevant services.
Nothing in this section deprives a consumer of a non-waivable right to bring a claim in a court or forum where applicable law permits or requires it.
18.4 No automatic arbitration requirement
These Terms do not establish mandatory arbitration or a class-action waiver. Any such provision must be expressly set out in a separately reviewed and legally enforceable agreement.
19. THIRD-PARTY LINKS AND EXTERNAL CONTENT
The Website may contain links to third-party websites, platforms, tools, or resources.
Such links are provided for convenience or informational purposes. Shipproad does not control independent third-party content, policies, or services and is not responsible for them except to the extent required by law.
Visiting a third-party website or purchasing a third-party service is subject to that provider’s own terms and policies.
20. ELECTRONIC COMMUNICATIONS AND NOTICES
You agree that electronic communications may be used for routine inquiries, proposals, invoices, approvals, and project administration where permitted by law and accepted by the parties.
Notices required under these Terms must be sent to the applicable contact details specified in these Terms or the relevant project agreement.
Formal notices concerning breach, termination, or legal claims should identify the relevant agreement and issue clearly and should be sent using a method that provides reasonable evidence of delivery.
Electronic signatures and electronic records may be used where legally valid and accepted by the parties.
21. AMENDMENTS TO THESE TERMS
Shipproad may update these Terms from time to time to reflect changes in its services, Website, business practices, or legal requirements.
The revised version will be published on the Website with an updated “Last Updated” date.
Changes will apply prospectively from the stated effective date, unless a different application is permitted by law and clearly communicated.
Changes to a signed project agreement require the amendment process stated in that agreement. Posting a revised Website policy does not automatically rewrite an existing signed contract.
If a change materially affects a Client’s ongoing service, Shipproad will provide any notice required by law or the applicable agreement.
22. SEVERABILITY AND WAIVER
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
A party’s failure or delay in enforcing a provision does not constitute a waiver of that provision or any other right.
Any waiver must be made by the party granting it and will apply only to the specific circumstances stated in the waiver.
23. ASSIGNMENT AND INDEPENDENT CONTRACTOR RELATIONSHIP
The Client may not assign its rights or obligations under a project agreement without Shipproad’s prior written consent, except where the applicable agreement or law permits otherwise.
Shipproad may use qualified employees, contractors, and service providers to perform its obligations, subject to applicable confidentiality, intellectual property, data protection, and contractual requirements.
Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency between Shipproad and the Client.
Neither party may bind the other to obligations without express authority.
24. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
These Terms, together with the applicable Privacy Policy and any accepted project agreement, constitute the applicable agreement concerning their subject matter.
A signed project agreement, statement of work, or other specifically accepted contractual document will prevail over these Terms to the extent it expressly addresses a conflicting issue.
A privacy or data processing agreement will govern its designated subject matter where applicable.
No informal statement or marketing description modifies a written agreement unless the modification is validly accepted.
